These Terms of Service set out the conditions on which Shanghai Hanyi Electromechanical Limited provides the switchgear overhaul, rewind, certification, thermal scan, spares and callout services described on this website, and the conditions on which a visitor may use the site itself. The Company operates from Rm 05 25/F Wealth Coml Ctr, 42-56 Kwong Wa St, Mong Kok, Hong Kong - 999077, Hong Kong (HK).
Please read these terms before sending an enquiry or booking work. By using this website or by instructing the Company to perform work, the client and the visitor accept these terms as they stand on the date of use. If a client has a signed contract with the Company that conflicts with these terms, the signed contract takes precedence to the extent of the conflict.
Definitions
In these terms, the Company means Shanghai Hanyi Electromechanical Limited. The hall means the switchgear long hall operated by the Company at its Kwong Wa Street address. The client means the person or organisation that instructs the Company or on whose behalf an enquiry is made. The visitor means a person who browses this website without instructing work. The equipment means any breaker, panel, coil, relay, control unit or other item handed to the Company for inspection, overhaul, rewind, test or storage.
Services means the six service lines described on this website: breaker overhaul bays, coil rewind runs, test certificate desks, thermal scan rounds, spares counter shifts and the emergency callout rota, together with any related advice, report and follow up. A business day means a day other than a Saturday, Sunday or public holiday in Hong Kong. A certificate means the signed test record issued by the test certificate desk.
Writing includes email and any other legible electronic message sent to the addresses published on this site. A reference to a clause is a reference to a clause in these terms unless stated otherwise.
Acceptance of terms
These terms apply to every enquiry, quotation, booking and job unless the Company has agreed different terms in a signed document. A client accepts these terms when the Client sends an enquiry, when the client authorises a booking, or when the client delivers equipment to the hall, whichever happens first.
A visitor accepts these terms for the use of the website by continuing to browse it. If a visitor does not accept these terms, the visitor should stop using the site. The website content is provided for information and does not by itself create a contract for services.
Where a client is a company or other organisation, the person who makes the booking confirms that they are authorised to bind the organisation. If it turns out that the person was not authorised, the person who made the booking may be treated as the client for the purpose of these terms.
Scope of services
The Company provides the six services described on this website from the hall in Mong Kok. The work is carried out by its own engineers, with support from specialist suppliers where a particular part or process calls for it. The Company does not claim to perform every possible electrical task, and a request outside the six service lines will be referred elsewhere with an honest explanation.
Descriptions of services on this website are accurate to the best of the Company knowledge, but they are not a technical specification. The precise work for a particular breaker is set out in the quotation or on the intake ticket prepared for that job. Where a description on the site and a quotation differ, the quotation governs the job.
The Company reserves the right to decline a job that it cannot perform safely or lawfully, including a job that would require work on energised equipment without proper isolation, or a job that would involve a part or method outside its competence. A declined job will be explained and, where possible, a referral will be offered.
Enquiries and quotations
An enquiry may be sent through the contact form, by email or by telephone. The Company aims to answer a straightforward enquiry within one business day and a technical enquiry within two business days. An answer is not a binding offer and does not reserve a bay or a rewind slot.
A quotation sets out the work the Company understands it has been asked to perform, the price, the expected turnaround and the assumptions on which both rest. A quotation remains open for thirty days unless it states otherwise. Where the client accepts a quotation, the acceptance should be in writing so that both parties hold the same record.
If, once work begins, the equipment is found to be in a condition materially different from the condition described at intake, the Company will inform the client before undertaking the additional work and will offer a revised price. The Company will not perform unbudgeted work and present the bill afterwards, except in an emergency where the safety of the board requires immediate action.
Bookings and bay allocation
A booking is confirmed when the Company issues a written confirmation naming the bay, the rewind slot or the scan date. A telephone conversation about a date is not a booking until it is confirmed in writing. The Company keeps one breaker per bay and does not double book a bay, which is the reason it can normally hold to the date it has confirmed.
If the client needs to move a confirmed date, the client should give at least two business days of notice so that the bay can be offered to another job. A late cancellation may attract a charge to cover the bay time that was held, and that charge will be stated in the quotation or in the booking confirmation.
If the Company needs to move a date, for example because a supplier part is delayed or an urgent callout requires the bay, the Company will tell the client as soon as it knows and will offer the next available date. Where the delay is caused by the Company, the client may cancel without charge and receive a refund of any deposit paid for that booking.
Client responsibilities
The client is responsible for identifying the equipment accurately, for providing any drawings, settings or previous test records in its possession, and for telling the Company about any known fault that could affect safe handling. Concealing a known fault, such as a cracked housing or a loose live part, transfers risk to the people who handle the equipment and is treated as a breach of these terms.
The client is responsible for isolating equipment before it is removed from a board, unless the Company has agreed to isolate it as part of the job. The client confirms, by handing over equipment, that it has been isolated and that any stored energy has been discharged in accordance with the client safety procedure.
The client is also responsible for collecting the equipment within the agreed period and for inspecting it on collection. Where a client arranges for a third party carrier to collect, the client accepts that risk passes at handover to the carrier and that the Company is not responsible for damage occurring after that handover.
Site access and safety
Where work is performed at a client site, the client will provide safe and lawful access to the equipment, to the board room and to any area the engineer needs. The client will ensure that a competent person is available to authorise isolation, to sign permits where required and to answer questions about the installation.
The Company engineers comply with the safety rules of the site, provided those rules are lawful and reasonable and have been communicated before the visit. If a site rule conflicts with a safe method of work, the engineer may stop and refer the matter to the office rather than proceed. A stop for safety will be recorded and may affect the completion date.
The client will tell the Company in advance about any hazard that could affect a visit, including asbestos, chemical stores, restricted access, live adjacent equipment, or a board room that cannot be reached without a permit. The Company may decline a visit where a hazard cannot be controlled to a reasonable standard.
Spares and parts
Spares supplied over the counter or fitted during a job may be new, refurbished or recovered from the Company stock of obsolete parts. The Company will state the condition of a part at the point of supply. A recovered part is supplied because the original is no longer manufactured and the board must keep running, not because a new part was unavailable at a lower cost.
The Company does not manufacture most of the parts it supplies and therefore cannot extend the manufacturer warranty beyond what the manufacturer or distributor provides. Where a new part fails within its manufacturer warranty, the Company will help the client pursue the claim and will handle the replacement fitting as part of the original job scope.
Parts ordered specially for a client may not be returnable. Any non returnable part will be identified before the order is placed, together with its price and expected lead time. The client may decline the special order and the job will proceed without it, with the consequence explained.
Coil rewinds
A coil accepted for rewind is stripped, inspected, rewound and varnished to the original class, and its resistance is measured before and after. Where the original wire gauge or turn count cannot be established from the coil or the drawing, the Company will record the assumptions it made and tell the client so that the result can be compared against a known reference.
A coil that is burnt beyond recovery, or that sits on a cracked former, may not be rewindable. In that case the Company will tell the client, offer a replacement part if one can be found, and return the original coil without charge for the rewind. The intake ticket records the condition and the decision.
The rewind carries a workmanship warranty for twelve months from collection, covering the winding and the varnish. The warranty does not cover failures caused by a fault elsewhere in the breaker, by abnormal supply, by mechanical damage, or by the coil being operated outside its rated duty. A warranty claim should be raised promptly and the coil should be returned with its tag and certificate.
Test certificates
A certificate issued by the test certificate desk records the tests performed, the settings used, the readings obtained and the pass limits applied. It is a record of what the Company measured on the day of the test, not a guarantee that the equipment will remain fault free in future service.
A certificate is issued for the equipment identified on it. If the equipment is altered, re-set, or moved to a different duty after the certificate is issued, the certificate no longer describes the equipment as it stands. The client should not present an outdated certificate as evidence of current condition, and the Company may withdraw a certificate if it learns that the equipment has been materially changed.
Where a certificate is issued against a board that the Company did not install and cannot inspect fully, the certificate will state the scope of the test. A limited certificate is not a statement that the rest of the board is sound, and a client who needs a full statement should book the full test scope.
Thermal scan rounds
A thermal scan round is a survey of terminal and busbar temperatures on a live board, carried out from a safe position with the covers in place. The round identifies hot spots relative to the load at the time of the scan. A cool terminal under light load can still be a fault at full load, and a client should read the report with that limitation in mind.
The scan is not a substitute for an isolation test, a contact resistance measurement or a protection setting check. It is an early warning method. Where a scan reveals a serious hot spot, the Company will advise immediate action and will offer a callout or a bay inspection as the next step. The client remains responsible for deciding whether a board should be isolated.
Scan images are retained for comparison and are shared with the client as a set. The Company may use a scan image in an anonymised form for training or for explaining a method, but it will not publish an image that identifies a client site without written permission.
Emergency callout rota
The rota covers nights, weekends and public holidays for contracted boards. A contracted board is one for which the Company holds current drawings and a service record and for which the client has agreed the rota terms. A call from a board that is not contracted will be handled as far as possible, but the two hour response promise applies only to contracted sites within Hong Kong.
The response time runs from the moment the Company accepts the call to the arrival of an engineer. If access is delayed, if the site is unsafe, or if the client contact cannot be reached, the clock is paused and the reason is recorded. The Company will not claim a response that did not happen.
A callout may involve temporary measures, such as installing a spare breaker or isolating a faulty circuit. Temporary measures are recorded as such. A permanent repair is arranged as a separate bay booking unless the client authorises the Company to complete it during the callout.
Fees and payment
Fees are set out in the quotation or, where no quotation was issued, in the standard rate card held by the office. A fee may include labour, parts, test time, certificate administration and travel. Each component will be shown so that the client can see what is being charged.
Unless stated otherwise, invoices are payable within thirty days of the invoice date. A deposit may be required for a special part order or for a large overhaul, and the amount will be agreed before the order is placed. The Company does not accept payment in a form that cannot be traced to a business account.
Late payment may attract interest at a reasonable commercial rate, calculated from the due date. The Company will send a reminder before charging interest and will not add a charge to an invoice that has been queried in good faith while the query is being resolved. A client who cannot pay on time should tell the office early rather than wait for a reminder.
Taxes and invoicing
Fees are stated exclusive of any tax that applies to the supply. Where a tax is chargeable, it will be shown separately on the invoice. The client is responsible for providing accurate billing details, including any registration number that the invoice must carry.
A credit note will be issued if an invoice is corrected. The client should keep the original invoice with the credit note so that the records match. A duplicate invoice can be supplied on request at no charge.
Where a client is entitled to recover a tax, the client should claim it in accordance with the law that applies to the client. The Company does not provide tax advice and will not confirm a recovery position on behalf of a client.
Title and risk
Title to a supplied part passes to the client when the part is paid for in full. Until then, the part remains the property of the Company, even though it may be fitted to the client equipment. This clause does not give the Company a right to enter a client site to recover a part, and the Company will not attempt to do so without a court order.
Risk in equipment handed to the Company passes to the Company when it is received at the hall and passes back to the client on collection. Risk in a part fitted to client equipment passes to the client when the equipment is collected. Risk in a scan report or a certificate passes to the client on delivery of the document.
Where equipment is left at the hall for testing only, risk passes on receipt and returns on collection in the same way. The Company insures equipment in its care to a reasonable level and will tell a client, on request, what that level is before valuable equipment is handed over.
Storage and uncollected equipment
The Company will hold equipment at the hall for a reasonable period after the job is complete, normally fourteen days, so that the client can collect it. It is not a storage business and does not have space to hold equipment indefinitely.
If equipment is not collected within thirty days of the completion notice, the Company will send a written reminder. If it remains uncollected after a further thirty days, the Company may charge a reasonable storage fee and, after giving clear written notice, may dispose of the equipment or sell it to recover the unpaid fees. The Company will always try to return equipment to its owner before taking that step.
A client who needs longer storage should arrange it in writing before the job is completed. Long storage for an obsolete board is sometimes sensible, and the Company will agree to it where space allows.
Workmanship warranty
The Company warrants its workmanship for twelve months from the date of collection. If a fault appears within that period and is caused by the work performed, the Company will correct it at no charge. The warranty covers the overhaul, the rewind, the fitting and the testing that the Company itself performed.
The warranty does not cover a fault caused by misuse, by abnormal supply, by water or dust ingress, by a part supplied by the client, by unauthorised alteration after collection, or by fair wear during heavy duty. It does not extend the manufacturer warranty of a part the Company supplied, which is governed by the manufacturer terms.
A warranty claim should be raised in writing with the certificate number and the delivery date. The Company will inspect the equipment and decide whether the claim falls within the warranty. If a claim is accepted, the correction will be completed within a reasonable time. If a claim is declined, the Company will explain the reason in writing.
Limitation of liability
The Company is liable for direct loss caused by its breach of these terms or by its negligence, subject to the limits below. The Company is not liable for indirect loss, loss of profit, loss of production, loss of contract, loss of data or loss of goodwill, except where the law does not allow that exclusion.
The Company total liability for a job is limited to the amount of the fee paid for that job, or to the cost of re-performing the work, whichever is higher. Where equipment is lost or damaged in the Company care, the liability is limited to the reasonable market value of the equipment at the time of loss, supported by evidence of value supplied by the client.
Nothing in these terms excludes liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot lawfully be excluded. If a limitation in these terms is found to be unenforceable, the remaining terms continue to apply.
Indemnity
The client will indemnify the Company against a claim, loss or cost arising from the client breach of these terms, from a hazard that the client failed to disclose, or from the client use of equipment in a manner the Company did not recommend. The indemnity applies only to the extent that the claim was caused by the client conduct and not by any act or omission of the Company.
The Company will notify the client promptly of a claim that may engage this clause and will allow the client a reasonable opportunity to respond. The Company will not settle a claim in a way that admits client fault without the client agreement.
The client will indemnify the Company against a claim from a third party who was given access to the Company work by the client, where that access was not authorised by the Company and the claim arises from that third party use.
Intellectual property
The text, layout, code and graphics of this website belong to the Company or are used with permission. The content may be read, printed and shared for the purpose of considering the Company services. It may not be republished as part of another commercial service without written permission.
Drawings, settings and test data supplied by a client remain the client property. The Company uses them only to perform the job and to keep its service record. The Company does not claim ownership of a client drawing by the act of testing equipment built from it.
Certificates, reports and scan image sets are prepared for the client identified on them. They may be shared by the client with a surveyor, an insurer or a successor contractor, but they should not be altered or presented as applying to different equipment.
Confidentiality
Each party will keep the other confidential information private and will use it only for the job. Confidential information includes drawings, settings, commercial terms, site layouts and any information marked as confidential. It does not include information that is already public, that the receiving party already held lawfully, or that a law requires the party to disclose.
The Company staff and contractors are bound by a duty of confidentiality that survives the end of a job. A client who wants a specific confidentiality arrangement for a sensitive board should say so at the enquiry stage so that the arrangement can be put in writing before work begins.
Where the Company is required to disclose confidential information by law, it will, unless prohibited, give the client notice so that the client can seek a protective order. The Company will disclose only what the law requires.
Force majeure
Neither party is liable for a delay caused by an event outside its reasonable control. Such events include severe weather, typhoon signals that close the site, flood, fire, civil disorder, an epidemic, a failure of a public utility, and the failure of a supplier to deliver a part that cannot be sourced elsewhere.
The affected party will notify the other as soon as it can and will state the expected effect on the job. Both parties will work to reduce the delay. If the event continues for more than sixty days, either party may cancel the affected job without charge, and the Company will return any equipment in its care once safe collection can be arranged.
A force majeure event does not excuse a failure to pay an invoice for work already performed, and it does not remove a duty to take reasonable care of equipment that is already at the hall.
Suspension and termination
The Company may suspend work if an invoice is seriously overdue, if a client fails to provide safe access, or if the Company believes that continuing the work would be unlawful or unsafe. The Company will tell the client the reason for the suspension and what is needed to lift it.
Either party may terminate a job by written notice. Where the client terminates, the client will pay for the work performed to the date of termination, for parts ordered, and for any non returnable cost already incurred. Where the Company terminates without cause, the Company will refund any deposit for work not performed.
Termination does not affect the clauses that are intended to survive it, including those on fees, title, limitation of liability, confidentiality and governing law. Equipment will be returned to a client who has paid the fees due before return, subject to any lien the law allows.
Use of this website
This website is provided for information about the Company and its services. A visitor may use the site for lawful purposes only. A visitor must not attempt to gain unauthorised access to the server, to interfere with the site operation, or to submit content through the contact form that is unlawful, misleading or designed to harm another person.
The contact form is a convenience that opens the visitor own mail application. It is not an encrypted submission channel and should not be used to send sensitive information such as an identity document number or a bank detail. For sensitive material, a visitor should call the office and arrange a suitable channel.
The Company may change, suspend or withdraw part of the website at any time without notice. The Company does not guarantee that the site will be available without interruption or free of error, but it will correct a problem that it learns about within a reasonable time.
Governing law and disputes
These terms are governed by the laws of Hong Kong. The parties submit to the exclusive jurisdiction of the courts of Hong Kong, except that the Company may bring a claim for an unpaid invoice in any court that has jurisdiction over the client.
If a dispute arises, the parties will first try to resolve it by discussion within twenty business days of a written notice describing the dispute. If that fails, either party may propose mediation before a suitable mediator. Litigation is a last resort, not a first step.
Nothing in this clause prevents a party from seeking urgent injunctive relief where that is necessary to protect property or safety. A party seeking such relief should still inform the other party promptly.
Changes to these terms
The Company may update these terms from time to time. The version that applies to a job is the version in force when the job was booked, unless the client agrees to a later version. The effective date at the top of this page shows when the current version took effect.
Where a change is material, the Company will tell an existing client in writing before applying it to work already underway. A change will not be applied retrospectively to work that has been completed and invoiced.
A visitor who continues to use the website after a change accepts the revised terms for that use. A client who does not accept a revised term may raise the point with the office before placing a new booking.
